Dispute Resolution
Mediation and Arbitration:
In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Use, your use of the Website, or any transaction conducted through the Website, including the validity, interpretation, breach, or termination of these Terms of Use (a “Dispute”), the parties agree to resolve the Dispute through the following process:
Mediation:
a. The parties shall first attempt to resolve the Dispute amicably by engaging in mediation.
b. The mediation shall be conducted by a mediator mutually agreed upon by the parties. If the parties cannot agree on a mediator within 30 days, either party may request the American Arbitration Association (AAA) to appoint a qualified mediator.
c. The mediation shall take place in New Jersey, unless otherwise agreed by the parties, and each party shall bear its own costs while equally sharing the costs of the mediator.
Binding Arbitration:
a. If the parties fail to resolve the Dispute through mediation, the Dispute shall be finally resolved through binding arbitration under the Rules of Arbitration of the American Arbitration Association (AAA).
b. The arbitration shall be conducted by a sole arbitrator appointed by the AAA. The arbitrator's decision shall be final and binding upon the parties.
c. The arbitration shall be held in New Jersey, and the language of the arbitration shall be English.
d. The arbitrator shall have the power to award any remedy or relief available under applicable law, including injunctive relief, and the parties shall bear their own costs while equally sharing the fees of the arbitrator.
e. Judgment on the arbitration award may be entered in any court having jurisdiction over the parties.
Exceptions to Arbitration: The parties retain the right to pursue an equitable remedy or relief through a court of competent jurisdiction in cases where preliminary or permanent injunctive relief is necessary to protect the interests or enforce the rights of either party.
Time Limitation: Any Dispute that is not resolved through mediation and arbitration must be filed within one (1) year after the cause of action arises, or it will be deemed permanently waived.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
